Job Summary

Providing legal support to ARM, its business units and subsidiaries in connection with a diverse range of corporate and commercial transactions including capital markets, project finance, corporate finance, real estate, mergers & acquisitions, venture capital, private equity transactions etc. You will play a critical part in ensuring that operations are complying with regulatory requirements with the highest standards of integrity and confidentiality. Providing legal advice, and company secretarial services to the Boards of ARM subsidiary companies, Executive Management, Company Executives, as well as the operational, financial and administrative departments of the organization, with the objective of protecting the organization’s interest from legal liability, and where necessary supporting its legal defence in cases filed against or brought by the organization

Job Details

Legal Advisory and drafting 

  • Support the business in understanding and complying with legal and regulatory requirements when launching capital markets related products/services in Nigeria
  • Provide expert legal advice on a wide range of matters with a focus on, but not limited to, asset management, private equity, digital financial services, credit, banking, technology, Anti Money Laundering (AML), and day-to-day operations as needed
  • Responsible for preparing and reviewing legal documentation for a wide range of the business’ activities; negotiating relevant drafts or master agreements, reviewing individual transaction documents; proposing and drafting appropriate amendments to internal policies and standard documentation / contracts.

Litigation

  • Manage litigation risks
  • Supervise counsel handling litigation on behalf of the Company

Company Secretarial Services: 

  • Support the effective delivery of company secretarial services

Stakeholder and cross functional management

  • Work closely with external legal advisers and consultants. Ensure that the services provided by external legal advisers and consultants meet the Company’s requirements 
  • Proactively seek to build mutually beneficial and trusting relationships with internal stakeholders (subsidiaries and other shared service functions), with the aim of delivering operational impact.

Legislative watch

  • Monitor the development of new laws, rules and regulations related to the business operations. Assess, evaluate and inform relevant teams on the impact on such laws and regulations while providing recommendations to prepare for any changes
  • Provide updates on the legislative progress of proposed laws and regulations.

Regulatory engagement

  • Represent the Company in engaging regulators as required.

Mentoring and training 

  • Provide training to other teams on basic legal knowledge related to business operations and corporate and commercial matters 
  • Mentor and support junior members of the Legal Unit 

 

Requirements

Education 

LL. B Degree from an accredited university 
B.L Degree from the Nigeria Law School 

Experience 

Minimum of  5 years’ work experience required.
SEC sponsored individual with experience working in Capital Markets.
